Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and BidaXP ("we", "us", "our"), governing your access to and use of the BidaXP platform, including its websites, mobile interfaces, APIs, and all associated services (collectively, the "Platform").

By registering an account, purchasing tickets, funding your wallet, or otherwise using any part of the Platform, you agree to these Terms in full. If you do not agree, you must not use the Platform.

We may also publish supplemental policies (such as event-specific rules or organiser guidelines) that form part of these Terms when applicable to your use of the Platform.

To access most features of BidaXP you must create an account. When registering you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your information to keep it accurate.
• Keep your password confidential and not share it with any third party.
• Notify us immediately at support@bidaxp.com if you suspect unauthorised access to your account.
• Be solely responsible for all activity that occurs under your account.

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to register. By registering, you represent that you meet this requirement. Accounts registered on behalf of minors by parents or guardians remain the responsibility of the account holder.

We reserve the right to suspend or terminate accounts that provide false registration information or violate these Terms.

BidaXP is a multi-service platform that currently provides:

• Event Ticketing — Browse, purchase, and manage tickets for physical, virtual, and hybrid events across Kenya and beyond.
• Virtual Events & Streaming — Attend live-streamed events via integrated video infrastructure (powered by Daily.co and Mux).
• Training & Learning — Access structured training content, courses, and knowledge-check quizzes published by verified trainers on the Platform.
• BidaXP Wallet — A prepaid digital wallet that can be funded and used to pay for tickets, training, and other Platform transactions.
• Community Chat & Networking — Event-based chat rooms and direct messaging with fellow attendees.
• Profiles & Social Features — Public profiles, activity feeds, and contact discovery.

We may add, modify, or discontinue any service or feature at any time with reasonable notice. Access to certain features may require a paid subscription, per-use fee, or wallet balance.

When you purchase a ticket through BidaXP you agree to the following:

• Order confirmation: A ticket purchase is confirmed only after successful payment processing. You will receive a confirmation email and a digital boarding pass accessible from your account dashboard.
• Accuracy: You are responsible for ensuring attendee details entered during checkout are correct. BidaXP is not responsible for entry denied due to incorrect information.
• Non-transferability: Unless explicitly permitted by the event organiser, tickets are non-transferable and may not be resold or gifted to a third party.
• Group tickets: Group ticket purchases assign one Group Leader (the purchaser) and the designated number of guest slots. All group members must attend together unless the organiser permits otherwise.

Cancellations & Refunds

Where no organiser policy applies, the following default policy governs:

• Refund requests submitted more than 72 hours before the event may be eligible for a full refund less any payment gateway processing fees.
• Refund requests submitted within 72 hours of the event start are generally not eligible.
• If an event is cancelled by the organiser, BidaXP will facilitate a full refund to the original payment method within 7–14 business days.
• In cases of event postponement, your ticket remains valid for the rescheduled date unless you request a refund within 7 days of the postponement announcement.

All refunds are subject to review. BidaXP charges no additional fees for processing organiser-approved refunds.

The BidaXP Wallet is a stored-value account that allows you to pre-fund a balance and use it for purchases on the Platform.

• Top-up: Wallets are funded via Paystack using mobile money (M-Pesa, Airtel Money) or debit/credit cards. Top-up amounts are credited immediately upon successful payment.
• Usage: Wallet balances may be used for any transaction on BidaXP where wallet payment is offered.
• Non-withdrawable: Wallet balances are not redeemable for cash unless required by applicable law.
• Expiry: Wallet balances do not expire under normal circumstances. We reserve the right to impose expiry on dormant accounts (no login for 12+ months) with at least 30 days' prior notice.
• Chargebacks: Initiating a chargeback or dispute for a legitimate wallet top-up may result in immediate account suspension and forfeiture of remaining balance.

All payments are processed by Paystack (a licensed payment service provider). BidaXP does not store full card or mobile money credentials. By making a payment you also agree to Paystack's terms of service.

BidaXP hosts and facilitates both physical and virtual/hybrid events. For virtual events you acknowledge:

• A stable internet connection is required. BidaXP is not liable for quality issues caused by your internet service provider or device.
• Virtual event access links are personal and must not be shared with non-ticket-holders.
• Recordings of sessions may be made available by organisers after the event. BidaXP does not guarantee perpetual post-event access to recordings.
• Disruptive behaviour during virtual events (e.g., screen-bombing, harassment, sharing explicit content) will result in immediate removal from the session and possible account suspension.

For physical events, BidaXP acts as a ticketing intermediary only. The event organiser is solely responsible for the event's safety, logistics, and conduct.

You agree to use BidaXP in a manner that is lawful, respectful, and consistent with these Terms. You must not:

• Harass, threaten, or abuse other users in chat rooms, messages, or comments.
• Post or share content that is defamatory, obscene, discriminatory, or otherwise harmful.
• Impersonate any person, organisation, or BidaXP employee.
• Attempt to circumvent access controls, authentication, or pricing mechanisms.
• Use the Platform to send unsolicited commercial messages (spam).
• Scrape, crawl, or harvest Platform data without express written consent from BidaXP.
• Upload malicious code, viruses, or any software that could harm the Platform or its users.

BidaXP reserves the right to remove any user-generated content that violates these standards and to take further action including account suspension.

All content, design, software, trademarks, logos, and materials on the BidaXP Platform are the exclusive property of BidaXP or its licensors and are protected by Kenyan and international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial purposes. This licence does not permit you to:

• Reproduce, redistribute, sell, or create derivative works from Platform content.
• Use BidaXP's name, logo, or branding without prior written consent.
• Reverse-engineer or decompile any part of the Platform's software.

By submitting content to BidaXP (such as profile information, chat messages, or event reviews), you grant BidaXP a worldwide, royalty-free licence to use, display, and distribute such content within the Platform.

In addition to the conduct restrictions above, the following are strictly prohibited:

• Creating fake events or misrepresenting event details to defraud ticket purchasers.
• Bulk-purchasing tickets to resell at inflated prices ("scalping") without prior written agreement with BidaXP.
• Using automated tools (bots) to purchase tickets or interact with the Platform.
• Using the Platform for money laundering, fraud, or any activity that violates Kenyan law or applicable international sanctions.
• Accessing another user's account without authorisation.
• Circumventing any promotional or promo code systems through unauthorised means.

You may close your account at any time by contacting us at support@bidaxp.com. Upon closure, your personal data will be handled in accordance with our Privacy Policy.

BidaXP may suspend or permanently terminate your account — without prior notice — if you:

• Breach any provision of these Terms.
• Engage in fraudulent, abusive, or unlawful conduct.
• Pose a risk to the security or integrity of the Platform or other users.

Upon termination, your access to the Platform and any unused wallet balance will be suspended. Refund eligibility of wallet balances on termination is assessed case-by-case and may be forfeited in cases of fraud or abuse.

The BidaXP Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The Platform will be uninterrupted, error-free, or secure at all times.
• Any information on the Platform is accurate, complete, or current.
• Any event listed will be held as advertised — event organisers are solely responsible for their events.

BidaXP is a ticketing and events platform, not an event organiser. We are not responsible for the safety, quality, cancellation, or content of any event listed on the Platform.

To the maximum extent permitted by law, BidaXP and its directors, employees, and partners shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or goodwill.
• Damages arising from your inability to attend an event, whether due to Platform downtime or any other reason.
• Actions or omissions of event organisers, third-party service providers (including Paystack), or other users.

Where liability cannot be excluded by law, BidaXP's total aggregate liability to you for any claim shall not exceed the total amount you paid to BidaXP in the three (3) months preceding the event giving rise to the claim.

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Platform shall first be subject to good-faith negotiation between the parties. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the courts located in Nairobi, Kenya.

If you access BidaXP from outside Kenya, you are responsible for compliance with all local laws applicable to your jurisdiction.

We may update these Terms from time to time to reflect changes in law, Platform functionality, or business practices. When we make material changes, we will:

• Update the "Effective" date at the top of this page.
• Send registered users a notification via email and/or an in-platform notice.

Your continued use of the Platform after changes are published constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform and may close your account.
